I. Condition of ARDB Marketplace
ARDB Marketplace is an online marketplace where farmers, buyers, and sellers can connect for commercial transactions to buy and sell agricultural products, services, agricultural equipment, and other materials related to the agricultural sector. Users are kindly requested to carefully read the terms and conditions below. By using the ARDB Marketplace and the features available in the application, you agree to the terms and conditions outlined in these Terms of Use. Thank you for using the ARDB Marketplace.
The ARDB Marketplace aims to promote and publicize products, particularly agricultural and processed goods. Through the ARDB Marketplace, users can buy and sell a variety of agriculture-related products based on their needs, including products from agricultural communities, agribusiness entrepreneurs, processing/export enterprises, agricultural input suppliers, and agricultural product distributors. Users can also search for product information, pricing, and various financial services available within the ARDB Marketplace.

ARDB Market: |
Refer to an online marketplace for goods and services accessible via computers, smartphones, tablets, and other devices connected to the Internet. |

User Account: |
Refer to an account identifier used to record various transactions on the ARDB Marketplace. |
|
One-Time Password (OTP): |
A numeric code automatically generated for users to verify and input when logging into the ARDB Marketplace. |
|
Card: |
Refer to a banking product that includes credit cards, debit cards, and prepaid cards used for conducting banking transactions. |
|
Debit Card: |
Refer to a type of bank card linked directly to a customer’s account, allowing transactions and payments to be made up to the available account balance for various banking services. |

Credit Card: |
Refer to a type of bank card that allows users to purchase goods or services without needing to have cash in their bank account but requires repayment later. |
|
Prepaid Card: |
Refer to a type of bank card that requires customers to pre-load funds, allowing them to use the card for purchasing goods or paying bills. |

Cash on Delivery (COD): |
Refer to a payment made at the time the customer receives the goods. |
|
KHQR Code: |
Users can scan and directly make payments to any banks supporting KHQR without the need to input the account number of the receiving bank. |

Transaction: |
Refer to the purchase and payment transactions made by users on the ARDB Marketplace. |
|
Notification: |
Refers to electronic messages (SMS, E-mail) sent by the ARDB Marketplace related to any transactions made or to providing other relevant information to the users. |

Buyer: |
Refers to a user of the ARDB Marketplace who searches for and purchases goods online through the ARDB Marketplace. |
|
Merchant: |
Refers to wholesale and retail traders or entrepreneurs who comply with the terms and agreements to operate as merchants on the ARDB Marketplace. |

Chat: |
The provision and communication of product and service details between sellers and buyers on the ARDB Marketplace. |
|
Check out: |
A stage in which the customer reviews and decides to purchase the product before making the payment. |
|
Carrier: |
Refers to a service provider responsible for delivering goods from merchants to customers. |
|
Order: |
Refers to the activity of purchasing goods in the ARDB Marketplace. |
|
Value Added Tax (VAT): |
A type of indirect tax for which registered enterprises or businesses are required to collect an additional tax from end users at a rate of 10% on all supplies of goods or services within Cambodia. |

Online Payment: |
Refers to the payment of goods and various services through the Internet. |
|
Return: |
A situation where a product is found to be defective or problematic, and an agreement is made between the customer and the seller for a return or exchange. |
|
Refund: |
In cases where a product is defective and cannot be exchanged, a mutual agreement must be reached between the customer and the seller for a refund. |
|
ARDB Marketplace Operator: |
Refers to an individual or group responsible for the operation of the ARDB Marketplace. |
|
Dispute: |
Refer to an issue that arises between the customer and the merchant on the ARDB Marketplace. |
Customers must comply with the terms and conditions of the ARDB Marketplace. The ARDB Marketplace does not grant customers any intellectual property rights over the products and services, such as the use of trademarks or logos. The ARDB Marketplace is a platform for selling products that focus on quality, pricing, and services, while upholding ethical standards and integrity.
5.1. Customers are required to register to use the ARDB Marketplace and are responsible for all transactions made.
5.2. Customers must keep their passwords and account usernames secure and must not share them with others.
5.3. To register for the ARDB Marketplace, users must be at least 18 years old.
5.4. Customers must provide accurate information and must not use false or misleading information to access the ARDB Marketplace.
6.1. Customers can view and select products on the ARDB Marketplace for purchase. By clicking “Add to Cart,” it is considered that the customer has initiated an order.
6.2. Customers may negotiate the price of any product with the seller before deciding to place an order.
6.3. Customers must select a payment method, a delivery company, and specify the delivery location, then proceed to payment to complete the purchase.
6.4. After successful payment, the customer will receive a notification confirming that the order has been successfully placed.
6.5. Customers must wait for confirmation and delivery arrangements from the seller.
6.6. Once the order is successfully placed, the customer cannot cancel the order.
7.1. Customers are required to pay for the orders, including the total product price, applicable taxes, and delivery fees.
7.2. Customers can make payments using the following methods:
· Online payment: Upon placing an order, customers can pay via bank cards or by scanning the KHQR code.
· Cash on delivery (COD): Customers can pay upon receiving the goods from the carrier by using any method agreed upon with the seller.
· Accepted currency: The ARDB Marketplace only accepts payments in United States Dollars (USD).
8.1. Customers must accurately specify the delivery location and select the appropriate delivery method.
8.2. Customers can choose delivery by a partner delivery company, delivery by the seller, or self-pickup.
8.3. Delivery fees depend on the distance, size, weight, product type, and the specified delivery location.
8.4. Delivery terms may be subject to change if the seller is unable to provide delivery services. In such cases, delivery fees from the seller will not be included in the invoice.
8.5. Once the order has been placed, the delivery location cannot be changed. However, the customer can negotiate directly with the carrier.
8.6. Customers must inspect the goods upon receiving them from the delivery service.
9.1. Customers must provide a clear and valid reason for requesting an exchange or return, based on the following cases:
a). The customer requests an exchange or returns due to receiving defective, damaged, or incorrect items that do not match the order.
b). The customer wishes to exchange the item because it is unsuitable for use. In this case, the product must be in its original condition, including quality and packaging.
c). Customers must provide photographic evidence to support the claim.
d). Delivery fees for exchanges or returns are subject to negotiation between the customer and the seller.
9.2. The conditions outlined in 9.1 are applicable only if both the customer and the seller reach an agreement, based on the timeframe specified and the conditions related to the product type.
9.3. Customers must act honestly and take responsibility for any items they wish to exchange or return.
In cases where customers request a refund, an agreement on payment must be reached with the seller and the following procedures shall apply:
10.1. Customers may request a refund based on the warranty conditions of each specific product.
10.2. The refund amount that the customer receives may be full or partial, depending on the extent of the damage and the outcome of negotiations, as outlined in Section IX.
10.3. If the customer has already made a payment but the order is canceled due to the product being out of stock, the seller or the ARDB Marketplace will issue a refund to the customer.
11.1. Disputes shall be resolved amicably. Customers may request dispute resolution with the seller under the coordination of the ARDB Marketplace in cases such as late delivery, incorrect items, undelivered goods, or incomplete orders.
11.2. These general terms and conditions shall be governed and interpreted in accordance with the laws of the Kingdom of Cambodia.
11.3. In case the dispute is raised, both parties attempt to resolve it amicably. If the dispute cannot be resolved through amicable means or alternative dispute resolution, it shall be settled through the court system in accordance with the laws of the Kingdom of Cambodia.
11.4. Any matters not covered by these terms and conditions shall be subject to the applicable laws of the Kingdom of Cambodia.
12.1. ARDB Marketplace reserves the right to modify information, and the terms related to the use of the ARDB Marketplace application. Users will be notified in accordance with legal requirements.
12.2. Any changes to the above terms will be notified through the following methods:
· Via the official website and social media channels of ARDB Marketplace
· By sending messages and/or emails to users
· Via the ARDB Marketplace application or any other method chosen by ARDB Marketplace
12.3. Users shall be deemed to have been notified of the above modifications immediately after ARDB Marketplace publishes the changes through any of the mentioned methods.
